A “Billing Period” is the one year period that corresponds with to the terms set fourth in the “License Period” above. Annual “User” totals are calculated by the average number of active learners associated with an entity, for the three months with the highest learner count, within the “License Period”. Client acknowledges that the timing of billing and the amount billed each Billing Period will align with the dates outlined above.
